  • NOC from the landlord for the registered office
  • Lease Agreement between the landlord and the company

Ensure that the address on the utility bills and property tax receipt matches the address on the NOC and lease agreement. The registered office cannot be located on vacant land or in a building under construction. However, it is acceptable to use a residential property as the registered office, though it is not necessary for the property to be commercial or industrial.

  • Within the Same State: Moving the registered office to a different city, town, or village within the same state but under the jurisdiction of the same Registrar of Companies (ROC).
  • Within the Same State, Different ROC: Changing the address within the same state but from one ROC jurisdiction to another.
  • Interstate Change: Relocating the registered office from one state to another or shifting from the jurisdiction of one ROC to another.

Procedure for Changing Registered Office Address


  1. Same State: Approve the change in a board meeting, file Form MGT-14 with the ROC, and update records.
  2. Outside Existing Boundaries: Obtain board approval, file Form MGT-14, and update the address in official records.
  3. Different ROC within Same State: Pass a board resolution, file Form MGT-14, and notify both ROC jurisdictions.
  4. Interstate Change: Approve in a board meeting, file Form MGT-14, and update records with both old and new ROC jurisdictions.
